NOMINATIONS COMMITTEE
The Nominations Committee is responsible for evaluating the balance of skills, knowledge and experience on the Board of Governors or its sub-committees and to interview and nominate membership for approval by the Board of Governors.

The Nominations Committee will be a sub-committee of the Board of Governors. |

| 2. | Membership and Quorum | |
The meeting shall be quorate when the Chair and two Governors are present and the Nominations shall meet at least once per year. |

| 3. | Terms of Reference | |
| 3.1 |
The Committee’s principal terms of reference are to: |

| a) Evaluate the balance of skills, knowledge and experience on the Board of Governors and its sub-committees and prepare a description of the role and capabilities required for a particular appointment, where appropriate. | ||
|
b) When a vacancy arises for the Chair of the Board of Governors or Deputy Chair of the Board of Governors, consider possible candidates from within the Board of Governors or identify (using local networks and advertising as appropriate) any potential candidates for this post. |
||

c) Annually seek approval from the current Chair / Deputy Chair of the Board of Governors of their willingness to remain in post for the ensuing year prior to the first meeting of the academic year where the appointment of a Governor to the post of Chair and Deputy Chair will be endorsed. |
||

d) Monitor the length of service of all Governors and sub-committee members and advise members annually via a schedule of forthcoming re-elections, retirements and future vacancies at least one year ahead of the appropriate due dates. |
||

e) Advise the Board of Governors and seek approval for the re-appointment of Governors who wish to be considered for a second period of office (NB: University College Governors may serve for two periods of four years). |
||
|
f) Consider and recommend for approval by the Board of Governors the Chair of the Finance & Resources Committee and Audit Committee when a vacancy arises. |
||

g) Identify (using local networks and advertising as appropriate) and approach potential candidates for Independent vacancies[1], to determine their interest and commitment to the envisaged role. [1] As defined under the Memorandum and Articles of Association under 16.1.3 (c) |

h) Approach The National Society for the Church of England to request nominations for vacancies arising within this category[2]. [2] As defined under the Memorandum and Articles of Association under 16.1.3 (a) |

i) Approach the Diocese of Exeter to request nominations for vacancies arising within this category[3]. [3] As defined under the Memorandum and Articles of Association under 16.1.3 (b) |
||

j) Review Application Forms received by the Clerk for all nominees and applicants from The National Society for the Church of England, Diocese of Exeter and Independent applicants. The completed application form to include two references, a Declaration of Interests form, Skills summary form and an Equal Opportunities form. The Clerk will seek at least two written references for all applicants. |

| k) Interview Independent, National Society and Diocesan candidates. The panel to include the Chair and two Governors (one of which can include the Principal). | ||
| l) Nominate for the approval of the Board of Governors, following a successful interview, candidates to fill vacancies on the Board of Governors, where possible, three months before they are due or arise from resignations. | ||
| m) Nominate for the approval of the Board of Governors, candidates who have been proposed to fill Co-Opted vacancies on the Board of Governors or any of its sub-committees. | ||
| n) Write a formal letter of appointment to candidates approved by the Board of Governors, setting out what is expected of them as Governors, the expected time commitment for meetings and / or committee service and any involvement outside of these meetings in University College affairs. Via the Clerk, ensure a full induction meeting and induction pack is delivered as soon as possible following appointment. |
